GENERAL CONDITIONS
Valid from February 2022
Käesolevad Ideali oksjoniteenuste Üldtingimused määravad kindlaks 1) Kliendi registreerimise korra; 2) veebisaidilt [www.idealauto.ee] juurdepääsetava oksjoniplatvormi kasutamise internetis; 3) oksjoniprotsessi, kaasa arvatud pakkumiste tegemise; 4) Ideali poolt pakutavate muude teenuste kasutamise; 5) vastutuse; ja 6) maksetingimused. Lugege Üldtingimused hoolikalt läbi, sest Klient peab kinnitama kasutajakonto registreerimisel, et on lugenud Üldtingimused läbi, ta mõistab ja nõustub nendega ning on teadlik, et need on talle õiguslikult siduvad. Kui Klient ei nõustu Üldtingimustega, siis ei võimaldata talle juurdepääsu veebisaidile ja ta ei saa Teenuseid kasutada.
These General Terms and Conditions of Ideal’s auction services determine 1) the Customer’s registration procedure; 2) online use of the auction platform accessible from the website [www.idealauto.ee/en/]; 3) the auction process, including making offers; 4) use of other services offered by Ideal; 5) liability; and 6) payment terms. Read the General Terms and Conditions carefully, because the Customer must confirm when registering a user account that he has read the General Terms and Conditions, he understands and agrees with them and is aware that they are legally binding on him. If the Customer does not agree to the General Terms and Conditions, they will not be granted access to the website and will not be able to use the Services.
It is considered that Ideal Auto and the Customer have entered into a contractual relationship in accordance with the General Terms and Conditions.
1. TERMS
The following terms have the meaning specified below in the General Terms and Conditions. The words used in the singular form in the general conditions also include the plural form and vice versa.
1.1. Ideal – OÜ Ideal Auto (Estonian registered company, registration code: 14103554, location: Peterburi tee 47c, Tallinn, Harju County, Estonia);
1.2. Personal data – any information that directly or indirectly, separately or in combination with other existing information, allows identifying a natural person, such as name, email address, IP address, social security code, photo, description, phone number, etc.;
1.3. Customer – a natural or legal person who has accepted the General Terms and Conditions and who has entered into a contractual relationship with Ideal to use the Services;
1.4. Account – the Customer’s personal user account registered on the Website;
1.5. Seller – The owner of the Auction item to be auctioned;
1.6. Auction – auction of the Auction Item organized by Ideal on the Internet platform located on the Website;
1.7. Auction Item – A vehicle or other property offered for sale at an auction;
1.8. Auction fee – the fee to be paid to Ideal by the Client who has made a winning bid on the Auction Item, the amount of which depends on the sale price of the Auction Item;
1.9. Party – Ideal or the Client;
1.10. Privaatsustingimused – Ideali privaatsustingimused, mis sisaldavad infot Kliendi isikuandmete töötlemise kohta, sealhulgas Kliendi kui andmesubjekti õigusi, ja mis on saadaval veebisaidilt [www.idealauto.ee/privaatsustingimused];
1.10. Privacy terms – Ideal’s privacy terms, which contain information about the processing of the Client’s personal data, including the rights of the Client as a data subject, and which are available on the website [www.idealauto.ee/andmekaitsetingimused/];
1.11. Services – all services provided by Ideal to the Client in connection with the organization of Auctions and Account management, as well as additional services such as technical failure guarantee, transport services, etc., which the Client orders separately;
1.12. Website – any website in any form [https://idealauto.ee/andmekaitsestimates/]
1.13. or content used on or through any of its subdomains;
1.14. General Terms and Conditions – The provision of services is governed by the terms and conditions specified in this document or incorporated by reference.
2. GENERAL TERMS
2.1. These General Terms and Conditions enter into force between Ideal and the Client when the Client registers as a user of the Services and gains access to the Account.
2.2. Ideal reserves the right to change or replace these General Terms and Conditions at its own discretion by giving notice of this in advance through the Website. The Customer must therefore regularly check the Website for the most up-to-date version of the General Terms and Conditions. If the Customer has been notified of the changes as described above and continues to use the Services, it is considered his/her 2 acceptance of the amended General Terms and Conditions. The amended General Terms and Conditions shall enter into force 5 days after the aforementioned notification, regardless of whether the Services are used or not.
2.3. The General Terms and Conditions constitute the entire agreement between Ideal and the Client on the topics regulated in the General Terms and Conditions and replace all previous agreements on the same subject between Ideal and the Client, unless Ideal and the Client agree otherwise in writing.
2.4. Ideal provides Services “as is” and “as available” basis. Ideal does not guarantee that the Auction is available at all times and that it is in good condition. Since the auction item is used, it may have defects, unless clearly stated otherwise. Ideal does not provide any guarantees or collaterals regarding the Auction Item, and Ideal’s liability is excluded to the maximum extent permitted by law.
2.5. If the Customer does not comply with the General Terms and Conditions, Ideal has the right to temporarily suspend the provision of Services to the Customer and demand that the Customer stops violating the General Terms and Conditions within 3 days at the latest. If the Customer does not stop violating the General Terms and Conditions within the specified period, Ideal has the right to block the Customer’s access to the Account and/or to delete the Account.
2.6. Ideal sells the Auction Item offered at the Auction on behalf of the Seller. For the sake of clarity, Ideal is the mediator of the sales transaction and the sales contract is concluded between the Seller and the Customer. The customer is forbidden to approach the Seller and make a proposal or purchase Auction items directly from the Seller.
3. ACCOUNT REGISTRATION
3.1. The Customer must register and gain access to his personal Account in order to use the Website and Services and bid at the Auction.
3.2. The customer (in the case of a legal entity, his authorized representative) has the right to register an Account and use the Services only on the condition that they are at least 18 years old.
3.3. The customer must enter the data required on the registration form to register the Account and select a username. The username chosen by the customer must be unique, different from all other usernames already registered and must not be offensive in any way according to generally accepted social norms.
3.4. The customer must also enter the email address and create a password that allows them to log into the Account. The Customer is solely responsible for protecting their Account password and user information and must ensure the confidentiality and security of their login data.
3.5. When registering the Account, the Customer must read the General Terms and Conditions and press the “I agree” option to complete the registration. By clicking “I agree”, the Customer confirms that all information provided by Ideal is clear and understandable and that they agree to the General Terms and Conditions.
3.6. If the Customer does not enter the correct information specified in this Section 3, the registration is incomplete and therefore invalid, and the Customer will not be able to access the Account in this case.
3.7. The Customer is responsible for access to the Account, control and security of the Account. Ideal has the right to assume that anyone using the Customer’s username and password is authorized by the Customer to do so, and the Customer is responsible for and assumes all risk in connection with the use of its Account by any unauthorized third party until notified to Ideal. The customer must immediately change their password and notify Ideal if their login data has been obtained by unauthorized third parties or if their Account has been compromised or used by a third party. Upon receiving such information, Ideal blocks the customer’s Account immediately, but no later than within 8 working hours.
3.8. The customer does not have the right to:
3.8.1. assign their Account to someone, transfer it, rent it or transfer it in any other way;
3.8.2. create illegal, fake or fraudulent accounts;
3.8.3. use the Account to make false offers and offers that they do not intend to fulfill.
3.9. The Customer must ensure that all reasonable and up-to-date security measures (including but not limited to firewalls, anti-virus and anti-malware 3 software) are activated on the computer hardware, software or other devices used to register and/or log in to the Account or the Website, and the Customer is responsible for all consequences that result from insufficient protection of their computer, smartphone, tablet or other devices.
3.10. If the Customer misuses the Account or otherwise violates the General Terms and Conditions, Ideal has the right, without notice, to:
3.10.1. prevent the Customer from logging into the Account while investigating the relevant problem,
3.10.2. block the Customer’s access to the Website or
3.10.3. permanently delete the Customer Account.
3.11. The customer has the right to close his account at any time. In this case, the General Terms and Conditions continue to apply in relation to the actions that the Customer performed on the Website before the Account was closed and/or in relation to the Services used before that.
4. AUCTION PROCESS
4.1. General conditions
4.1.1. Each Auction item has undergone a thorough inspection by Ideal and Ideal provides it with the maximum information available regarding its condition, appearance, possible defects, maintenance history, etc.
4.1.2. Unless otherwise stated, each Auction Item has been previously used and Ideal has made every effort to determine and describe the actual condition of the Auction Item. The Customer must nevertheless understand and agree that various parts not attached/fixed to the Auction Item may be missing despite Ideal having made every effort to describe the condition of the Auction Item. Such missing parts may include, for example, a hazard triangle, spare tire, tire repair kit, floor mats, car jack, spare keys, various documents related to the Auction Item (e.g. maintenance book), etc. Missing parts are not considered a significant defect and do not give the Customer the right to use legal remedies, including demanding a price reduction, compensation for damages, or withdrawal from the purchase.
4.1.3. Ideal has the right to remove any of the Auctions from the Website without notice or explanation before or during the auction. The Customer agrees that this is not considered a violation of the General Terms and Conditions and is not a basis for the Customer to submit claims against Ideal.
4.1.4. Ideal has the right to refuse to accept bids and sell the Auction Item, and has the right to re-auction the Auction Item if there are technical errors or other reasons that support such a decision.
4.1.5. Ideal has the right to stop the Auction, solve the problems that have arisen and schedule a new time for the Auction, informing the Customers who have bid on the interrupted Auction, if the Website crashes, there are technical errors, or if the proper execution of the Auction is prevented in some other way.
4.1.6. If the Auction is described in several languages and there is a contradiction between the different language versions, the Estonian wording is considered valid.
4.1.7. If the Client wins the auction, Ideal will notify the Client about winning. If the Customer has returned to Ideal a signed confirmation letter regarding the purchase request for the Auction Item, the sale contract between the Buyer and the Seller is deemed to be concluded with respect to the Auction Item.
4.1.8. If the auction item has been entered in the register, it will be re-formalized in accordance with the procedure prescribed by law. If the Customer picks up an Auction Item for which he has paid in full, he will receive the Auction Item already registered in his name, unless the Parties agree otherwise.
4.1.9. All Auction items are sold without valid insurance. The customer is solely responsible for concluding a valid insurance contract for the auction item before accepting it.
4.2. Offer
4.2.1. The auction item is visible to everyone, but only registered and logged-in users can bid. The customer can make an offer at the Auction at any time until the end of the Auction. The offer made is binding on the Customer if their offer turns out to be the winning offer unless otherwise stipulated by the General Terms and Conditions.
4.2.2. The customer must follow the instructions given on the Website to make an offer. Offers can be made as offers with a fixed limit price set by the Customer or as offers made separately by the Customer.
4.2.3. Other Auction participants cannot see the exact amount of the Client’s highest bid, but if at any time the Client’s bid is the winning bid, others will see that the Client has made the highest bid and they will also see its amount. The customer’s bid is considered the highest and winning bid if other Auction participants do not make a higher bid during the Auction. If the Client’s fixed limit price is exceeded during the Auction, the Client will be informed about this and will be able to increase his bid.
4.2.4. The auction bid for the Auction Item covers only the purchase price of the Auction Item. In addition, the Customer must also pay the Auction Fee, which is added to the final winning bid in accordance with Chapter 5 of these General Terms and Conditions.
4.2.5. If the Customer makes an offer by mistake or for some other reason does not wish to be accepted by his offer, the Customer has the opportunity to withdraw his offer, but only on the condition that he sends a corresponding request to Ideal by email at least 5 hours before the official end time of the relevant Auction.
4.2.6. The customer may bid on the Auction item only in his own name. If the Customer makes an offer on behalf of another person, thus acting as a representative of a third party, the Customer assumes full responsibility for the offer and Ideal has the right to consider such an offer as an offer made by the Customer on its own behalf.
4.2.7. The customer is prohibited from:
4.2.7.1. participating in making offers for auction items put up for sale by themselves (which means that the Customer is also the Seller);
4.2.7.2. manipulating bidding in any way.
4.3. End of auction
4.3.1. Each Auction Item has a set auction time with an extended countdown to the end of the Auction, which can be seen in the description of each Auction Item.
4.3.2. If a new bid is made for each Auction item during the final countdown shown separately in its description, the Auction will be extended by the period specified in the description. If no new bids have been made since the last bid within this period, the Auction has come to an end and will close. The end of the auction is time-varying, depending on last-minute bids, and is therefore not predictable.
4.3.3. The auction is declared successful and thus ended if someone has made such a bid for the Auction Item that exceeds the minimum amount that the Seller has agreed to sell for. At the end of the Auction period specified in point 4.3.2, information will appear next to the respective Auction item about whether all prerequisites have been met and that the item has been sold to the person who made the highest bid.
4.3.4. The auction is considered finished even if the minimum amount has not been reached, but in this case, it is not declared successful, which means that in this case there are no successful bidders who have the right to buy the Auction item. In this case, Ideal will notify the Seller of the highest bid made at the Auction, and the Seller has the right to decide whether to accept or reject it. The Customer understands and agrees that this procedure requires communication between Ideal and the Seller and that it may take 24 hours or longer on weekends.
4.3.5. If the Auction ends with two equal bids in the same amount, then the first of the two bids is considered the winner. In the event of a dispute, Ideal has the right to decide which bid will be considered the winning bid.
4.3.6. The Customer who made the highest and winning bid for the auction item will soon after the end of the Auction receive a notification from Ideal that they are the winner of the bid. After winning the Auction, the Customer will receive an invoice for the Auction item with payment instructions and information about the Seller.
4.3.7. The Customer who made the winning bid is obliged to answer their phone and email after the end of the Auction, if Ideal contacts them. If Ideal fails to contact the Customer within 24 hours after making the winning bid, then Ideal has the right to collect the Auction Fee and the right to give the opportunity to purchase the Auction Item to other persons who bid on the Auction Item instead of the original winner of the Auction.
4.4. Accepting the auction item
4.4.1. The Customer can accept the Auction Item after Ideal has received payment, including the Auction Fee, and has sent the Customer a notification that the Auction Item is ready for pickup.
4.4.2. The customer must accept the auction item within 5 working days after Ideal has sent them a notification of acceptance. The time of acceptance must be within Ideal’s normal working hours unless the Parties agree otherwise. Ideal’s opening hours are shown on the Website.
4.4.3. The customer is responsible for arranging the transportation of the auction item and pays all transportation costs related to the auction item. Ideal does not assume responsibility for transport, but delivery, unless the Parties have agreed otherwise.
4.4.4. When picking up the auction item, the customer must provide Ideal with a signed delivery receipt, which they can find on the Website. Ideal will not hand over the Auction item without a delivery receipt. If the Customer uses an authorized transport company to receive and transport the Auction Item, the person picking up the Auction Item on behalf of the Customer must submit a signed delivery receipt, an authorization signed by the Customer, and an identity document.
4.4.5. If the purchased Auction Item is not picked up within 5 working days after Ideal has sent a notice of acceptance, the Customer shall pay a deposit of [10] euros for each Auction Item for each day until the Auction Item is accepted, unless the Parties agree otherwise.
4.4.6. If the purchased Auction Item has not been accepted within 30 days after the end of the Auction, Ideal will have a lien on the Auction Item.
4.4.7. If the Customer cannot receive the Auction on the agreed date and time, they must notify Ideal immediately.
4.5. Complaints
4.5.1. The customer undertakes to review the Auction when accepting it. If necessary, the customer must report all defects of the auction item without delay and provide a detailed description of them.
4.5.2. Claims arising from defects of the auction item and/or violation of the sales contract shall be submitted by the Customer to the Seller. Claims related to Ideal Services are submitted by the Client to Ideal.
4.5.3. All complaints must be made in writing.
4.5.4. If the Customer does not inform about the defects in time or does not provide a sufficiently detailed description, the Customer cannot rely on the non-conformity of the Auction Item.
4.5.5. If the Customer is a natural person, they must report all non-conformities of the Auction Item within two months of becoming aware of them.
4.5.6. If the Customer is a natural person, all disputes between the Customer and Ideal will be resolved through negotiations. If an agreement is not reached, the Customer has the right to contact the consumer environment department of the Consumer Protection and Technical Supervision Agency (Endla 10a, 10122 Tallinn, https://www.ttja.ee) and the consumer disputes committee (Endla 10a, 10122 Tallinn, https://ttja.ee/avalduse-esitamine) party to resolve the dispute out of court or to the court. Additional information on the out-of-court settlement of disputes can be found on the website www.ttja.ee and www.komisjon.ee.
4.6. Right of withdrawal
4.6.1. If the Customer is a natural person, they have the right to withdraw from the sales contract within 14 days without justifying their decision. If the Customer withdraws from the sales contract after taking possession of the Auction Item, the Customer shall bear all costs related to the return of the Auction Item.
5. FEES AND PAYMENTS
5.1. Fees
5.1.1. Bidding on the auction item on the website is free of charge for the Customer. However, if the Customer’s offer turns out to be the highest offer, which is accompanied by an obligation to purchase the Auction Item, then the offer made is binding on the Customer, and they must pay for the Auction Item and pay the Auction Fee.
5.1.2. In addition to the purchase price of the Auction Item, the Customer also pays the Auction Fee specified in the description of the Auction Item on the Website.
5.1.3. The Client, who is a legal entity, pays the Auction Fee to Ideal even if the sale of the Auction Item is not completed due to circumstances arising from the Client.
5.2. Payment
5.2.1. The customer pays the purchase price of the auction item and the auction fee within 48 hours after receiving the invoice from Ideal. If the payment has not been received in full in Ideal’s account within 5 days, the sales contract between the Buyer and the Seller ends automatically and Ideal has the rights specified in clause 5.3.
5.2.2. Payment can be made by bank transfer to the account indicated on the invoice. If the payment is made by someone other than the Customer, the Customer must notify Ideal in advance.
5.2.3. If the Customer is located outside of Estonia, they must comply with the conditions set forth in Chapter 7 of the General Terms and Conditions.
5.3. Failure to pay
5.3.1. If the payment has not been made and Ideal has not received it within the time specified above and the sales contract has therefore ended, then Ideal has the right to:
5.3.1.1. collect the auction fee; and
5.3.1.2. to give the Customer another opportunity to make the payment;
5.3.1.3. sell Auction item without notifying the Client to the person who made the second highest bid;
5.3.1.4. to decide to put the Auction Items up for sale at a new Auction;
5.3.1.5. demand the Client to cover costs if a new transaction or Auction in accordance with this point results in additional costs for Ideal, such as storage, transportation, sales, insurance and other such costs, which are not covered by the new price received for the Auction item.
5.4. VAT
5.4.1. All Auction Items and Services provided by Ideal include VAT. If the Customer is a legal entity and exports his purchase, the terms of Chapter 7 of the General Terms and Conditions apply to them.
5.5. Additional services
5.5.1. Ideal can offer the Customer various additional services free of charge or for an additional service fee. If Ideal provides such additional services for an additional service fee, it is indicated accordingly on the Website.
6. LIABILITY AND LIMITATION OF LIABILITY
6.1. Ideal shall not be liable to any Customer or any third party for any consequences, claims, complaints, liability, damages, fees, costs, bodily injuries, fines, legal costs, or other similar compensation that may arise as a result of the Customer’s use of the Services, regardless of whether it/they were foreseeable. or not.
6.2. Ideal is only responsible for the Services purchased while acting as an Auctioneer. Ideal is under no circumstances responsible for the condition of the Auction Item, its defects or non-compliance with the terms of the contract, or for the claims of any possible third parties in connection with the Auction Item. If, upon receiving the Auction Item or later, the Customer discovers any defect in the Auction Item or non-compliance with the 7 terms of the contract, they must contact the Seller directly, whose responsibility is determined by the applicable law. Neither Ideal nor the Seller is responsible for the following defects and errors:
6.2.1. defects that were mentioned in the description of the auction item;
6.2.2. defects that are considered normal wear and tear of the Auction Item;
6.2.3. defects that the Customer should have noticed upon receiving the Auction Item and which they should have reported in accordance with the procedure specified in clause 4.5 of the General Terms and Conditions, but which they failed to report properly;
6.2.4. defects that are not considered normal wear and tear, but which the Customer should reasonably have expected due to the age, condition and price of the Auction Item.
6.3. If the Customer is a natural person, the Seller is responsible for all such non-conformities of the Auction Item that appear within two years from the date of acceptance of the Auction Item by the Customer. In the case of a sale to a consumer, it is assumed that all non-conformities that appear within six months of receipt of the Auction Item already existed before handover, unless such an assumption is inconsistent with the nature or defect of the Auction Item.
6.4. If Ideal has reasonable grounds to suspect that the Client has misused their Account or the Services in any way, then Ideal may limit the Client’s ability to use the Services or make bids at Auctions or prohibit them from doing so altogether. Among other things, manipulation of the bidding process, violation of the General Terms and Conditions, making offers without the actual intention to buy the item, contacting the Seller directly, etc., are considered to be such misuse.
6.5. If Ideal does not reformat the Auction as specified in clause 4.1.8 for reasons beyond Ideal’s control, Ideal shall not be held responsible for this. For the sake of clarity, it is specified that if the reformation is delayed within the meaning of this clause, it does not affect the Customer’s right to accept and use the Auction Item, as well as his ownership right to the Auction Item.
6.6. Ideal’s liability for the fulfillment of the obligations specified in its General Terms and Conditions is limited to direct and documented damages. Ideal is not responsible for any indirect damages, including lost income.
6.7. The customer accepts that the functionality of the Website may be limited due to random technical errors and that Ideal may not always be able to guarantee the unrestricted flawless functioning of the Website, the correct registration of offers and the proper functioning of the Auctions. If there is an error in connection with the Auction or the Website, Ideal will correct it as soon as possible. Ideali shall not be liable for any damages suffered by the Client as a result of the Website or the Auction process malfunctioning or not being able to use them as desired, including if bids were not registered in time due to a technical error, if the wrong bidder is contacted as the winning bidder, or if The minimum amount for which the Seller has agreed to sell the Auction item in accordance with point 4.3.3 has been incorrectly entered into Ideal’s system, which makes it necessary to organize a new Auction.
6.8. To the extent permitted by applicable law, Ideal is not held liable for any direct or indirect damage that the Customer may suffer due to delays in the Services and Auctions or technical problems.
6.9. Ideal’s total liability for contractual and non-contractual damages is limited to a maximum of 1,000 euros.
6.10. If the Customer violates the General Terms and Conditions and their Account is therefore deleted or they are otherwise prevented from using the Website and/or Services, they have the right to re-register only with the written consent of Ideal.
6.11. The parties are not responsible for damages or failure to fulfill their obligations arising from the General Terms and Conditions in the event of force majeure. For the purposes of the General Terms and Conditions, force majeure includes, without limitation, circumstances over which the defaulting Party has no reasonable control, such as earthquake, fire, flood, war, terrorism, pandemic, civil, industrial or military unrest, sabotage, strike or lockout, epidemic, riot, failures, and interruptions in utility and communications services, a major cyber attack, or the actions of government, judicial or regulatory authorities. However, force majeure cannot be considered an obstacle to the fulfillment of financial obligations and does not exempt from the obligation to fulfill them
7. EXPORT SALES
7.1. Sales and export to European Union countries with KMKR number
7.1.1. The VAT registration number provided by the customer must be at an identifiable address https://ec.europa.eu/taxation_customs/vies/vieshome.do?selectedLanguage=EN.
7.1.2. The customer does not pay Estonian VAT on the Auction Item, Auction Fee and other Services provided by Ideal, but is solely responsible for declaring their purchase in their country of residence or residence.
7.1.3. Notwithstanding clause 7.1.2, the Customer pays the amount corresponding to Estonian VAT from the purchase price to Ideal as a guarantee. After accepting the auction item and transporting it out of Estonia, the Customer provides proof of this and asks Ideal to refund the deposit. Proof must be sent to Ideal by email. If necessary, Ideal may request additional information and/or documents to confirm the provided certificate. Ideal must receive the certificate within 14 calendar days of its issuance.
7.1.4. In order for Ideal to return the deposit paid to cover VAT, the Customer must provide Ideal with their international bank account number (IBAN) along with the name of the bank, SWIFT code and the name of the account holder when accepting the Auction. Ideal has up to 14 days to refund the VAT deposit.
7.2. Sales and exports to European Union countries without KMKR number
7.2.1. The customer pays Estonian VAT on the Auction Item, Auction Fee and other Services provided by Ideal.
7.2.2. VAT is paid to Ideal as a deposit. After accepting the auction item and transporting it out of Estonia, the Customer provides proof of this and asks Ideal to refund the deposit. Proof must be sent to Ideal by email. If necessary, Ideal may request additional information and/or documents to confirm the provided certificate. Ideal must receive the certificate within 14 calendar days of its issuance.
7.2.3. In order for Ideal to return the deposit paid to cover VAT, the Customer must provide Ideal with his international bank account number (IBAN) along with the name of the bank, SWIFT code and the name of the account holder when picking up the Auction Object. Ideal has up to 14 days to refund the VAT deposit.
7.3. Sales and export to countries outside the European Union
7.3.1. The customer does not pay Estonian VAT on any purchases, including the Auction Fee and other Services. The customer must provide proof of compliance with the VAT exemption rules that it is a company registered outside the European Union.
7.3.2. Notwithstanding clause 7.3.1, the Customer pays the amount corresponding to Estonian VAT from the purchase price to Ideal as a guarantee. After accepting the auction item and transporting it out of Estonia, the Customer provides proof of this and asks Ideal to refund the deposit. Proof must be sent to Ideal by email. If necessary, Ideal may request additional information and/or documents to confirm the provided certificate. Ideal must receive the certificate within 14 calendar days of its issuance.
7.3.3. In order for Ideal to return the deposit paid to cover VAT, the Customer must provide Ideal with his international bank account number (IBAN) along with the name of the bank, SWIFT code and the name of the account holder when picking up the Auction Object. Ideal has up to 14 days to refund the VAT deposit.
8. PROCESSING OF PERSONAL INFORMATION
8.1. Ideal processes the Customer’s personal data in accordance with the provisions and conditions of its privacy policy.
9. GOVERNING LAW
9.1. Estonian law applies to the general conditions and their interpretation.
9.2. Ideal and the Client will make every effort to resolve disputes arising from the General Terms and Conditions through negotiations between the Parties. If the parties fail to reach an agreement, the matter will be addressed to the Harju County Court.
9.3. If Ideal fails to enforce any right or condition arising from the General Terms and Conditions, this shall not be deemed a waiver of those rights.
9.4. If the court deems any clause of the General Terms and Conditions to be invalid or inapplicable, the remaining clauses of the General Terms and Conditions shall remain valid.
10. OTHER
10.1. The parties undertake to notify each other of changes in their data, such as name/surname, address, payment data, etc., within 5 calendar days.
10.2. Ideal has the right to unilaterally assign all its rights and obligations arising from these General Terms and Conditions to a third party related to Ideal, by notifying the Customer via the Website or by e-mail.
